Twitter Is Likely To Accept Elon Musk’s $43 Billion Offer To Buy The Company As Soon As Today (UPDATE: The Deal Is Done)

UPDATE: It’s official. The Twitter board has accepted Elon’s offer and Twitter is going to become a private company. All the details are here.

Bret Taylor, Twitter’s Independent Board Chair, said, “The Twitter Board conducted a thoughtful and comprehensive process to assess Elon’s proposal with a deliberate focus on value, certainty, and financing. The proposed transaction will deliver a substantial cash premium, and we believe it is the best path forward for Twitter’s stockholders.”

Parag Agrawal, Twitter’s CEO, said, “Twitter has a purpose and relevance that impacts the entire world. Deeply proud of our teams and inspired by the work that has never been more important.”

Bro may at times live below the poverty line, but Elon Musk was able to move some money around and come up with $43 billion to buy Twitter. Maybe he took out a second mortgage on his couch, cashed out an IRA, and recommitted himself to eating nothing but peanut butter and Top Ramen for the next few years, but he’s done it. And according to Reuters, Elon’s “best and final” $43 billion offer is probably going to get the job done. Despite trying to hinder the deal with a so-called “poison pill,” Twitter “is poised to agree” to the sale which could be announced as soon as today. It’s a shame that Elon’s 7th child’s college fund is toast, but at least Exa Dark Sideræl Musk gets to play with Twitter’s ban button. Babies love buttons!

The Twitter Board Is Adopting A “Poison Pill” Defense To Block Elon Musk’s Takeover

Everything I know about business and billionaires I learned through watching Succession and The Drop Out, both of which (coincidentally?) feature Alan Ruck. Unfortunately, this Ruck-centric financial knowledge is limited, so bear with me as I attempt to dive into the Elon Musk vs. Twitter mess.

Last week Elon Musk became Twitter’s majority shareholder when he bought 9% of shares in the company. A couple of days ago we learned that he’s being sued by Twitter shareholders for failing to disclose his 9% stake on time. Then, yesterday, Elon shocked the world by offering to buy Twitter for $43 billion in cash. He wants to transform it into a private company. A Musk-run Twitter would, allegedly, do better at serving the “social imperative” of free speech (“YAAAAAS” -Donald Trump). That brings us to today’s news: The Wall Street Journal reports that Twitter has adopted a “poison pill” plan in an attempt to block Elon’s dastardly hostile takeover.

Twitter Shareholders Are Suing Elon Musk For Failing To Disclose His Share Purchases On Time

We recently learned that Elon Musk has amassed an over 9% stake in Twitter, making him the company’s largest single shareholder. A move he probably celebrated the cowboy way, by shooting his guns in the air and shouting “YÆÆ HÆ!” Problem is, in doing so, he might have inadvertently shot himself in the foot. According to The Hollywood Reporter, Elon is being sued in a class-action lawsuit filed by Twitter shareholders who accuse him of being late to notify financial regulators that he’d been busy gobbling up shares of the company, costing investors “significant profits when Twitter shares skyrocketed in light of the news.” Hope he was wearing boots or else the next new product from Tesla will be robot replacement toes. Because the last thing we need is for Elon to turn into the Six Million Dogecoin Man!

Chrissy Teigen’s past behavior came back to bite her ass in a big way a few months ago when Courtney Stodden alleged that Chrissy was one of Courtney’s biggest, loudest, and meanest bullies back in the day. The situation didn’t magically disappear after Chrissy typed out a public apology, so she left social media for a break.

She’s still trying to stay off the internet for the most part, which Chrissy hates because all she wants is to hop back onto Twitter and chirp her most random thoughts at her 13.5 million followers. But whenever Chrissy decides it’s time to exit the “Cancelled Club” and return to Twitter, one thing she might be leaving behind in the past is one of her former favorite online past times: stirring the pot and sticking her nose in other people’s shit.

Monica Lewinsky Made An Intern Joke About That HBO Max Email Eff Up, And Some People Didn’t Like It

Last Thursday HBO Max subscribers received an empty email with the subject: “Integration Test Email”, and a single-sentence message that read, “This template is used by integration tests only.” Huh? Soon the HBO Max Help account tweeted out an apology, explaining that an intern had done a whoopsies. Obviously, Twitter had a chuckle, and soon “Dear Intern” was trending; people shared their own intern fuck ups from back in their day and gave advice to the poor HBO Max intern (and all current interns, really). It was kinda sweet.

But who’s the most famous former intern of all time? THEE Monica Lewinsky. She tweeted, “dear intern: it gets better. <3 ps. don’t wear a beret for awhile, k?” Rather than be amused by the tweet or press the ‘like’ button, or, I dunno, ignore it, a bunch of people accused Monica of dredging up the past, roping Hillary Clinton into the conversation, and making herself out to be the victim. Really, Twitter?
